TERMS OF SERVICE – TENZOVA

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Deveon - Bartosz Lach ("Provider", "we", "us", or "our"), a sole proprietorship registered in the Central Registration and Information on Business (CEIDG) and operating under the laws of the Republic of Poland, with its principal place of business at ul. Parkowa 72, 42-290 Blachownia, VAT ID (NIP): 5732931031.

These Terms govern your access to and use of the artificial intelligence model inference services and computational endpoints offered under the commercial brand Tenzova (the "Services"), which are made available to you through authorized third-party intermediary platforms ("Platforms").

⚠️ BUSINESS USERS ONLY: The Services are intended exclusively for use by businesses, entrepreneurs, developers, and other legal entities or natural persons acting in the course of their trade, business, or profession. If you are a consumer (natural person acting outside any trade, business, or profession) within the meaning of Polish and EU consumer protection law, you are not authorized to use these Services. By accessing the Services, you represent and warrant that you qualify as a business user.

1. Nature of the Services & Distribution

  • 1.1 Backend Provider Role: Tenzova acts as a backend computational provider, offering hardware infrastructure to host and execute open-source Large Language Models (LLMs). We provide raw inference capabilities through authorized Platforms.
  • 1.2 Platform Dependency: All authentication, API key management, and billing are handled by the respective Platforms. Tenzova does not collect direct payments from Users and has no access to your billing information or account credentials stored on these Platforms.
  • 1.3 Service Availability: The Services are provided on an "AS IS" and "AS AVAILABLE" basis without any Service Level Agreement (SLA). We do not guarantee specific uptime, latency, or throughput. Tenzova reserves the right to suspend or modify the availability of any endpoint at any time without prior notice.

2. Data Privacy & Zero Data Retention Policy

2.1 Zero Data Retention Architecture:

Our infrastructure implements a strict Zero Data Retention (ZDR) policy:

  • No Persistent Storage: We do not log, save, or store your input prompts or generated outputs on any non-volatile storage.
  • No Model Training: We do not use your data to train, fine-tune, or improve any AI models.
  • Volatile Memory Processing: Data is processed exclusively in volatile memory (RAM/VRAM) and discarded immediately after response transmission.
2.2 Privacy & Transient Processing:

By routing requests to our endpoints, you acknowledge that:

  • You are the Controller: You remain the sole data controller for any personal data embedded in your inputs.
  • Transient Processor Role: Tenzova acts as a transient processor, performing real-time computational tasks without persisting data.
  • Global Data Routing: Due to the decentralized nature of our compute infrastructure, your input data may be temporarily routed to and processed in volatile memory on servers located globally, including outside the European Economic Area (EEA). By using the Services, you explicitly consent to such cross-border routing.

3. Infrastructure & Security Risks

  • 3.1 Third-Party Infrastructure: We utilize third-party cloud and bare-metal infrastructure distributed worldwide. While we implement industry-standard isolation and security protocols, the physical hardware is operated by independent third parties.
  • 3.2 Security Limitations: You acknowledge that no cloud environment or internet transmission is entirely secure against sophisticated exploits (such as hardware-level side-channel attacks).
  • 3.3 Assumption of Risk: By using the Services, you accept the inherent risks of cloud-based processing. To the maximum extent permitted by law, Tenzova is not liable for unauthorized access or data interception occurring at the physical hardware, network, or host operating system level beyond our reasonable software-level control.

4. Acceptable Use & Prohibited Data

  • 4.1 General Use: You may process proprietary business data or source code at your own risk, acknowledging the security limitations described in Section 3.
  • 4.2 Prohibited Data:

    You strictly agree NOT to submit, transmit, or process:

    • Highly sensitive personal data such as government-issued IDs or financial account credentials.
    • Protected Health Information (PHI) subject to HIPAA or similar global regulations.
    • Special categories of data under GDPR (e.g., genetic, biometric, or health data).
    • Content that is illegal or violates third-party intellectual property rights.

5. Intellectual Property & Licenses

  • 5.1 User Content: We claim no ownership over your inputs or generated outputs. You retain all rights to your inputs and, subject to applicable model licenses, to the outputs.
  • 5.2 Model Compliance: You are solely responsible for complying with the specific open-source licenses (e.g., Llama Community, Apache 2.0, MIT) governing the models you access through our endpoints.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TENZOVA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOSS OF DATA.

TENZOVA’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT ALLOCATED TO TENZOVA BY THE RESPECTIVE PLATFORM FOR YOUR USAGE DURING THE THIRTY (30) DAYS PRECEDING THE CLAIM, OR FIFTY EURO (€50.00), WHICHEVER IS LESS.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the competent courts in Poland, competent for the registered office of the Provider.
